Terms of Service
Terms governing customer access to and use of the Fieldwork service.

These Terms of Service ("Terms") are between Fieldwork AI Inc., a Delaware corporation ("Fieldwork"), and the entity identified on an Order Form or that otherwise accepts these Terms ("Customer"). They govern Customer's access to and use of Fieldwork's agentic AI platform (the "Service"). By executing an Order Form referencing these Terms or by accessing the Service, Customer agrees to these Terms. The individual accepting represents that they have authority to bind Customer.
1. Definitions
- "Account Data" means information relating to Customer's account and Users that Fieldwork processes for its own purposes: names, business contact details, roles, authentication data, billing information, and support and other communications with Fieldwork.
- "Connected Systems" means the third-party systems and accounts that Customer chooses to connect to the Service.
- "Confidential Information" means non-public information disclosed by or on behalf of one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
- "Customer Configurations" means artifacts and configurations of the Service within Customer's Organization created by or for Customer, including Prompted Artifacts, and content, code, settings, apps, saved queries, agent personas, schedules, sync and connector configurations, and knowledge-base pages authored by Users. Ownership of Customer Configurations, and of components embodied in or used with them, is allocated at the component level under Section 12.
- "Customer Data" means the business records and content processed by the Service on Customer's behalf: data ingested from Connected Systems, data uploaded to the Service by or for Customer, and business content entered into the Service by Users. Customer Data excludes Account Data, Usage Data, and De-identified Data.
- "De-identified Data" means data derived from Customer Data, Customer Configurations, Outputs, or Usage Data from which identifiers of Customer, Users, data subjects, and Customer's suppliers and customers have been removed or obscured using commercially reasonable techniques such that the data does not identify them.
- "Documentation" means Fieldwork's user documentation for the Service, as updated from time to time.
- "DPA" means the parties' Data Processing Addendum or Fieldwork's standard Data Processing Addendum, incorporated into these Terms where the Service processes personal data within Customer Data.
- "Fieldwork Components" means connectors, apps, adapters, templates, and other components developed by or for Fieldwork and made available for use in customer Organizations, as identified in the Service or Documentation.
- "Fieldwork Technology" means the platform and tooling underlying the Service: the software, models, agents and agent runtimes, connector and sync frameworks, app serving infrastructure, schemas, data structures, transformation logic, semantic and metric definitions, templates and formats, Documentation, Fieldwork Components, artifacts authored by Fieldwork personnel or generated at Fieldwork's initiative, components forming part of Fieldwork's shared or multi-tenant systems, and all improvements and derivatives of the foregoing. Allocation of ownership between Fieldwork Technology and Customer-owned artifacts is set out in Section 12.
- "Open Source Components" means third-party software components subject to open-source or source-available licenses that are included in or used with the Service, Fieldwork Components, or Prompted Artifacts.
- "Order Form" means an ordering document or online purchase flow referencing these Terms.
- "Organization" means Customer's organization environment within the Service, comprising its Users, data, configurations, and settings.
- "Outputs" means business content generated by the Service for Customer, such as analyses, recommendations, forecasts, and draft documents (including draft purchase orders).
- "Prompted Artifacts" means artifacts generated by the Service - including code, integrations, adapters, apps, saved queries, agent personas, and knowledge-base content - in response to prompts, instructions, edits, approvals, or other interactions by Customer's Users, including through scheduled runs established by Users, as recorded in the Service's provenance records. Ownership of Prompted Artifacts, and of components embodied in or used with them, is allocated at the component level under Section 12.
- "Subscription Term" means the subscription period stated in the Order Form, including any renewal periods.
- "Usage Data" means technical, operational, and usage information generated by the operation of the Service - logs, telemetry, feature and tool usage, performance metrics, run and revision metadata, and provenance records - excluding the content of Customer Data.
- "Users" means individuals authorized by Customer to use the Service under Customer's account.
In these Terms, the singular includes the plural and vice versa where the context permits.
2. The Service
2.1 Access. Subject to these Terms and payment of applicable fees, Fieldwork grants Customer a non-exclusive, non-transferable right during the Subscription Term to access and use the Service for Customer's internal business operations.
2.2 Users. Customer is responsible for its Users' compliance with these Terms, for maintaining the confidentiality of credentials, and for all activity under its account.
2.3 Changes to the Service. Fieldwork may modify the Service at any time, provided it does not materially reduce its core functionality during a paid Subscription Term.
2.4 Beta features. Features identified as beta, preview, or early access are provided as-is, may be modified or withdrawn at any time, and are excluded from any service commitments.
2.5 Support. Fieldwork will provide support as described in the Order Form or Documentation.
3. Connected Systems
3.1 Authorization. Customer authorizes Fieldwork to access Connected Systems using the scopes and credentials Customer grants, and instructs Fieldwork to retrieve, process, and (where Customer enables write access) write data to them on Customer's behalf.
3.2 Customer warranties. Customer represents and warrants that it has all rights, consents, and authority necessary to grant the access described in Section 3.1 - including, where Customer connects mailboxes or communication accounts, any consents or notices required with respect to individuals whose communications they contain, and compliance with the terms of the relevant third-party providers.
3.3 Scope and revocation. Access follows the scopes Customer grants. Customer may revoke access to any Connected System at any time; revocation may degrade or disable dependent functionality, which is not a breach by Fieldwork.
3.4 Third-party systems. Connected Systems are provided by third parties under their own terms. Fieldwork is not responsible for their availability, accuracy, or acts or omissions.
4. Agentic AI; Outputs; autonomy
4.1 Nature of Outputs. The Service uses artificial intelligence, including large language models, to generate Outputs and Prompted Artifacts. Outputs are recommendations and drafts, not professional advice, and may be inaccurate, incomplete, or unsuitable for Customer's purposes. Customer is responsible for reviewing Outputs and Prompted Artifacts and for all decisions and actions taken in reliance on them.
4.2 Autonomy controls. The Service offers graduated autonomy, including: (a) suggest - Outputs presented for review only; (b) approve - proposed actions execute on a User's express approval; (c) auto-execute - categories of action Customer has enabled execute without per-action approval, within parameters Customer configures; and (d) scheduled runs - recurring agent runs that Customer or its Users schedule, which execute on Customer's behalf at the scheduled cadence with the tool permissions configured for them.
4.3 Authorized autonomous activity. Each enabled auto-execution category, each approved action, and each scheduled run is authorized by Customer, and Customer is responsible for it as if performed by Customer directly. Customer may disable auto-execution and cancel schedules at any time. Fieldwork will maintain logs of automated actions and make them available to Customer.
4.4 No fiduciary or professional relationship. The Service does not provide legal, tax, accounting, or investment advice, and Fieldwork is not Customer's agent beyond the limited technical authorization in this Section 4.
4.5 Human review. The Service is designed for human-in-the-loop operation. Customer will ensure review of Outputs commensurate with the significance of the decision, particularly purchase commitments and communications to third parties.
4.6 AI transparency. The Service informs Users that they are interacting with an artificial intelligence system. Where Customer uses the Service to generate content that Customer then directs to its own customers or other third parties - for example, messages, product descriptions, or other communications - Customer is the deployer of that content and is responsible for any disclosure or transparency obligations owed to those recipients under applicable AI law, including Article 50 of the EU AI Act.
5. Customer Data; licenses; De-identified Data
5.1 Ownership. As between the parties, Customer owns Customer Data.
5.2 License to Fieldwork. Customer grants Fieldwork a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and create derivative works of Customer Data, Customer Configurations, and Outputs to: (a) provide, secure, and support the Service; (b) prevent or address technical, security, or fraud issues; (c) develop, improve, and enhance the Service and Fieldwork's other current and future products and services; and (d) create De-identified Data.
5.3 Directly entered content. For clarity, business content entered directly into the Service by Users is Customer Data and is licensed under Section 5.2; artifacts and configurations built from it are Customer Configurations governed by Section 12.2.
5.4 Model training. Fieldwork does not use Customer Data, Customer Configurations, or Outputs - whether identifiable or de-identified - to train or fine-tune foundation models or large language models. Fieldwork may use Customer Data, Customer Configurations, and Outputs in de-identified form, and Usage Data, to train and improve Fieldwork's proprietary application-level machine-learning systems, such as the forecasting, ranking, and recommendation systems used to provide the Service.
5.5 De-identified Data. Fieldwork owns De-identified Data and may use it for any lawful purpose during and after the Subscription Term, including analytics, benchmarking, model development, and building industry and supplier intelligence, provided Fieldwork does not disclose De-identified Data in a form that identifies Customer or any data subject.
5.6 Customer responsibilities. Customer is responsible for the accuracy and legality of Customer Data and for its decisions about what to connect or enter. Customer will not submit data categories requiring compliance regimes the Service is not represented to meet (e.g., HIPAA-regulated health records, PCI cardholder data).
5.7 Export and deletion. Customer may export Customer Data, Customer Configurations, and Outputs, together with associated provenance records, in a machine-readable format at any time during the Subscription Term - excluding modifications to Fieldwork Components, which are not exportable (Section 12.3). Following termination or expiry, Fieldwork will make them available for export for 30 days and delete Customer Data, Customer Configurations, and Outputs within 30 days thereafter, except as retained in routine backups (expiring on rotation) or as required by law. Deletion obligations do not apply to De-identified Data, Usage Data, or Account Data.
6. Data protection roles
6.1 Processor for Customer-purpose processing. For personal data contained in Customer Data that Fieldwork processes on Customer's behalf, Customer (or its affiliates or clients) is the controller and Fieldwork is the processor, acting on Customer's documented instructions under the DPA. This applies however the personal data enters the Service.
6.2 Documented instructions. These Terms, the DPA, and Customer's use and configuration of the Service constitute Customer's complete documented instructions, and Customer instructs Fieldwork to process personal data within Customer Data as necessary to: (a) provide, secure, and support the Service; (b) create De-identified Data; and (c) improve the Service. Additional instructions require the parties' written agreement.
6.3 Independent controller for Fieldwork purposes. Fieldwork is an independent controller of personal data it processes for its own purposes, namely: (a) Account Data, to administer the relationship, authenticate Users, bill, and provide support; (b) Usage Data, to operate, secure, and improve the Service; (c) processing necessary for security, fraud prevention, and abuse detection across the Service; and (d) compliance with law. Fieldwork's processing as controller is described in its Privacy Policy.
6.4 De-identified Data. De-identified Data is not personal data, and Fieldwork processes it as an independent controller to the extent any law treats it otherwise.
6.5 Sub-processors. Fieldwork's current sub-processors are listed at https://www.getfieldwork.ai/subprocessors, which Fieldwork may update from time to time. Fieldwork will provide notice of new sub-processors through that page (or as set out in the DPA), and Customer's continued use of the Service constitutes acceptance.
6.6 International transfers. Where the DPA applies to transfers of UK or EEA personal data to Fieldwork in the United States, the parties rely on the EU Standard Contractual Clauses and the UK Addendum as set out in the DPA.
6.7 Data Processing Addendum. The Data Processing Addendum at https://www.getfieldwork.ai/dpa is incorporated into and forms part of these Terms. By accepting these Terms, Customer accepts the DPA, which governs Fieldwork's processing of personal data on Customer's behalf and applies wherever Data Protection Laws apply to that processing. Where Customer requires a separately signed DPA, the parties will execute Fieldwork's standard-form DPA on the same terms.
7. Security
Fieldwork maintains a written information security program with administrative, technical, and organizational measures appropriate to the risk, including encryption in transit (TLS 1.2+) and at rest (AES-256), least-privilege access with MFA, tenant isolation, logging, and a documented incident response procedure with notification to Customer without undue delay, and within 72 hours of confirming a personal data breach affecting Customer Data. A summary of Fieldwork's security measures is available on request.
8. Fees and payment
8.1 Fees. Customer will pay the fees stated in the Order Form. Except as expressly stated, fees are non-cancellable and non-refundable.
8.2 Payment terms. Fees are due thirty (30) days from invoice date. Late amounts accrue interest at the lesser of 1.5% per month or the maximum lawful rate.
8.3 Taxes. Fees are exclusive of taxes; Customer is responsible for all applicable taxes other than taxes on Fieldwork's income.
8.4 Renewal pricing. Fieldwork may increase fees for a renewal term with at least 60 days' notice before the renewal date.
8.5 Usage-based components. Where an Order Form includes usage- or consumption-based fees, the Order Form governs measurement and overage.
9. Term; termination; suspension
9.1 Term. These Terms apply from the effective date of the first Order Form and continue while any Order Form is in effect. Each subscription renews for successive periods equal to the initial term unless either party gives notice of non-renewal at least 60 days before the renewal date.
9.2 Termination for cause. Either party may terminate if the other materially breaches and fails to cure within 30 days of written notice, or upon the other's insolvency.
9.3 Suspension. Fieldwork may suspend the Service (in whole or the affected part) on notice where (a) fees are more than 30 days overdue, (b) Customer's use poses a security risk or violates Section 10, or (c) suspension is required by law.
9.4 Effect of termination. On termination or expiry: access ceases; unpaid fees for the remainder of any committed term become due where Fieldwork terminates for Customer's breach; Section 5.7 governs export and deletion; and the license in Section 12.3 terminates. Sections that by their nature survive (including 5.4–5.5, 5.7, 6, 10, 11, 12 (other than the license in 12.3), 13–15, and 18) survive.
10. Acceptable use
Customer will not (and will not permit Users to): (a) resell, sublicense, or provide the Service to third parties except as expressly permitted; (b) reverse engineer, decompile, or attempt to extract the Service's source code, models, weights, or prompts, except to the extent such restriction is prohibited by law; (c) use the Service or any Output to develop a competing product, or benchmark the Service for publication without consent; (d) circumvent usage limits, autonomy controls, or security controls; (e) use the Service in violation of law, including export control and sanctions laws; or (f) submit unlawful or infringing content.
In connection with the Service's AI features, Customer also will not (and will not permit Users to): (g) rely on Outputs as the sole basis for a decision producing legal or similarly significant effects on an individual - such as decisions concerning credit, employment, insurance, housing, or access to essential services - without meaningful human review; (h) use the Service for any purpose prohibited by applicable AI law, including the prohibited practices set out in Article 5 of the EU AI Act; (i) attempt to bypass, disable, or manipulate the Service's safety, content, or autonomy guardrails - including through prompt injection or other adversarial inputs - or to induce the Service to access data or take actions outside Customer's authorized scope, including any other customer's data; (j) use the Service, its Outputs, or its observed behaviour to train, fine-tune, distil, or develop a competing AI model, or to replicate or extract the models, weights, or prompts; or (k) present AI-generated Outputs as human-generated where doing so would deceive a person or breach applicable law, including AI-transparency obligations.
11. Confidentiality
11.1 Each party will protect the other's Confidential Information with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisers with a need to know who are bound by comparable obligations. Customer Data, Customer Configurations, and Outputs are Customer's Confidential Information; Fieldwork Technology, pricing, and non-public Documentation are Fieldwork's.
11.2 Standard exclusions (independently developed, publicly available without breach, rightfully received) and compelled-disclosure mechanics apply. Obligations last 5 years from disclosure and, for Customer Data, for as long as Fieldwork holds it.
12. Intellectual property
Ownership under this Section 12 is allocated at the component level: a single artifact may comprise Customer-owned elements and embedded Fieldwork Technology, Fieldwork Components, or Open Source Components, and each element is owned as provided below regardless of how the artifact is packaged or deployed.
12.1 Fieldwork Technology. Fieldwork and its licensors own all Fieldwork Technology, Usage Data, and De-identified Data. Artifacts authored by Fieldwork personnel are Fieldwork Technology wherever created, including within Customer's Organization; artifacts generated at Fieldwork's initiative (rather than in response to a User interaction) are Fieldwork Technology; and nothing in these Terms transfers to Customer any ownership of components forming part of Fieldwork's shared or multi-tenant systems. No rights in Fieldwork Technology are granted to Customer except as expressly stated in these Terms.
12.2 Customer ownership of Prompted Artifacts, Customer Configurations, and Outputs. As between the parties, Customer owns Customer Configurations (including Prompted Artifacts) and Outputs. To the extent any intellectual property right in them vests in Fieldwork by operation of law - including as the maker of arrangements for computer-generated works under section 9(3) of the Copyright, Designs and Patents Act 1988 (UK) or equivalent laws - Fieldwork hereby presently assigns that right to Customer upon creation, excluding in each case Fieldwork Technology, Fieldwork Components, and Open Source Components embodied in or used with the artifact, which remain owned by Fieldwork or their respective owners and licensed as set out in these Terms. Where an artifact is generated or modified across multiple interactions, ownership follows the originating interaction as recorded in the Service's provenance records. Customer acknowledges that, given the nature of AI generation, the Service may produce the same or similar outputs and artifacts for other customers, and Customer's ownership does not extend to them. Customer's ownership is subject to the license granted to Fieldwork in Section 5.2.
12.3 Fieldwork Component License. Fieldwork grants Customer a non-exclusive, royalty-free, worldwide license to use, run, copy, modify, and create derivative works of Fieldwork Components, solely within Customer's Organization and in connection with the Service. Customer owns its modifications to Fieldwork Components as Prompted Artifacts under Section 12.2; the underlying Fieldwork Component remains Fieldwork Technology. This license does not permit use, distribution, or deployment of Fieldwork Components (or derivatives of them) outside the Service, and terminates when the Subscription Term ends. Modifications to Fieldwork Components exist only within the Service: notwithstanding Section 5.7, they are not exportable in any form and are deleted on termination alongside the underlying component license. Customer's export rights cover its other Prompted Artifacts and Customer Configurations, not Fieldwork Components or modifications to them. Fieldwork may enable Customer to share modified Fieldwork Components with other Fieldwork customers, on these same license terms, through features of the Service.
12.4 Open Source Components. The Service, Fieldwork Components, and Prompted Artifacts may include Open Source Components, which are owned by their respective authors and licensed under their own terms notwithstanding anything else in these Terms. Open Source Components are excluded from the assignment in Section 12.2 and from Fieldwork's indemnity in Section 14.1. Fieldwork will preserve required license notices in Open Source Components incorporated into Prompted Artifacts.
12.5 Generalized learnings. Fieldwork may study Customer Configurations, Prompted Artifacts, and Outputs, and may use the general knowledge, skills, experience, patterns, and techniques developed in providing the Service to build and improve Fieldwork Technology and generalized versions of any artifact - provided Fieldwork will not copy Customer-owned artifacts verbatim for use by other customers, and will not use Customer's Confidential Information or identifiable Customer Data except as licensed in these Terms.
12.6 Feedback. Fieldwork may use suggestions and feedback about the Service without restriction or obligation; this does not transfer Customer's pre-existing intellectual property or business processes.
13. Warranties; disclaimers
13.1 Mutual. Each party warrants that it has authority to enter into these Terms.
13.2 Service warranty. Fieldwork warrants that during the Subscription Term the Service, including unmodified Fieldwork Components, will perform materially in accordance with its Documentation. Customer's exclusive remedy is re-performance or, if Fieldwork cannot materially restore conformance within 30 days, termination of the affected Order Form and a pro-rata refund of prepaid, unused fees.
13.3 AI disclaimer. EXCEPT AS STATED IN SECTION 13.2, FIELDWORK DOES NOT WARRANT THAT OUTPUTS OR PROMPTED ARTIFACTS WILL BE ACCURATE, COMPLETE, OR FIT FOR ANY PARTICULAR DECISION. AI-GENERATED CONTENT IS PROBABILISTIC; THE SERVICE DEPENDS ON THE ACCURACY AND COMPLETENESS OF CUSTOMER DATA AND CONNECTED SYSTEMS; AND BUSINESS OUTCOMES (INCLUDING INVENTORY, MARGIN, AND PURCHASING OUTCOMES) ARE NOT GUARANTEED.
13.4 Customer-approved methodologies. Prompted Artifacts and Customer Configurations execute methodologies reviewed and approved by Customer. Fieldwork is not responsible for the business logic embodied in them, or for the behavior of Customer's modifications to Fieldwork Components.
13.5 General disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND FIELDWORK DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Indemnification
14.1 By Fieldwork. Fieldwork will defend Customer against third-party claims that the Service or an unmodified Fieldwork Component (excluding Customer Data, Customer Configurations, Prompted Artifacts, Open Source Components, and Connected Systems) infringes a patent, copyright, or trademark, or misappropriates a trade secret, and will pay resulting damages finally awarded or agreed in settlement, with the usual procure/modify/terminate-and-refund options. This states Customer's exclusive remedy for infringement.
14.2 By Customer. Customer will defend Fieldwork against third-party claims arising from (a) Customer Data, (b) Customer's grant of access to Connected Systems in breach of Section 3.2, (c) Customer's use of Outputs or Prompted Artifacts, approval of Customer Configurations, or configuration of autonomous activity in violation of law or third-party rights, and will pay resulting damages finally awarded or agreed in settlement.
14.3 Procedure. Prompt notice; indemnifying party controls defense and settlement (no settlement admitting fault or imposing obligations without consent); reasonable cooperation.
15. Limitation of liability (three tiers)
15.1 Tier 1 - general cap. EXCEPT AS PROVIDED IN SECTIONS 15.2 AND 15.4, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER FOR THE SERVICE IN THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY.
15.2 Tier 2 - enhanced cap. FOR LIABILITY ARISING FROM A PARTY'S BREACH OF SECTION 11 (CONFIDENTIALITY) OR OF THE DPA, OR FROM A PERSONAL DATA BREACH CAUSED BY FIELDWORK'S FAILURE TO COMPLY WITH SECTION 7, THE CAP IS THE GREATER OF TWO TIMES (2x) THE TIER 1 AMOUNT OR US $1,000,000.
15.3 Consequential damages. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. FEES DUE UNDER ORDER FORMS ARE DIRECT DAMAGES.
15.4 Tier 3 - uncapped. NOTHING IN THIS SECTION 15 LIMITS LIABILITY FOR: (a) A PARTY'S FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT; (b) CUSTOMER'S PAYMENT OBLIGATIONS; (c) CUSTOMER'S BREACH OF SECTION 10 OR MISAPPROPRIATION OF FIELDWORK TECHNOLOGY; (d) CUSTOMER'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 14.2; OR (e) LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
16. Network Features
Where Fieldwork offers features that operate across customers - such as supplier discovery, benchmarking, or coordination with Customer's suppliers ("Network Features") - Customer's Organization participates unless Customer opts out in settings or by notice. Network Features use Customer Data only as needed to provide the feature to Customer, and De-identified Data otherwise; identifiable Customer Data is not disclosed to another customer or supplier without Customer's consent per interaction or configuration.
17. Publicity
Fieldwork may identify Customer as a customer (name and logo) in customer lists and marketing materials unless Customer objects by notice.
18. General
18.1 Governing law; venue. These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The state and federal courts located in Delaware have exclusive jurisdiction; each party consents and waives venue objections. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.
18.2 Dispute escalation. Before filing suit (except for injunctive relief), the parties will refer the dispute to senior executives who will meet within 15 business days.
18.3 Assignment. Neither party may assign these Terms without consent, except either party may assign in connection with a merger, acquisition, or sale of substantially all assets, on notice.
18.4 Notices. Legal notices in writing to the addresses on the Order Form (Fieldwork: 169 Madison Ave, Ste 79708, New York, NY 10016, USA; legal@getfieldwork.ai); operational notices may be given through the Service or by email.
18.5 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except payment obligations.
18.6 Entire agreement; precedence; updates. These Terms, the DPA, and Order Forms are the entire agreement. Precedence: Order Form > DPA (for data protection) > these Terms. Customer purchase-order terms are rejected. Fieldwork may update these Terms effective on renewal with 30 days' notice.
18.7 Miscellaneous. No implied waiver; severability; independent contractors; no third-party beneficiaries; export and sanctions compliance required of both parties.
